1. The agreement1. El acuerdo
These terms are an agreement between [[LEGAL_NAME]], [[ADDRESS]] ("Curbside", "we") and the organization that uses the Curbside NEMT software ("you", "your organization"). By creating an account, starting a trial, or using the software, you accept them. If you are accepting on behalf of a company, you confirm you are allowed to bind it.

2. What Curbside is — and what it is not2. Qué es Curbside — y qué no es
Curbside reads a roster of trips you provide, and proposes an assignment of those trips to a number of drivers you specify. It estimates driving times from map data, groups riders where it can, and lists the trips it could not place.

It is a planning aid, not a dispatcher. Curbside does not contact drivers, does not track vehicles, does not confirm that anyone was picked up, and does not know about traffic, weather, a driver calling in sick, a vehicle breaking down, or a patient's medical needs beyond what your roster file happens to say. The result is a proposal. A qualified person in your organization must review it and remains responsible for the transportation you provide, for the safety and suitability of each assignment, and for meeting your obligations to your patients, your brokers and your regulators.

3. Accounts3. Cuentas
- You need an account to use Curbside. Give us accurate details and keep them current.
- Keep your password to yourself. You are responsible for what happens under your account, including by anyone you give access to.
- Tell us promptly at hello@curbsidenemt.com if you think an account has been compromised.
- Accounts are for people, not for sharing. Each person who uses Curbside should have their own.

4. Your data and your responsibilities4. Tus datos y tus responsabilidades
The rosters you import stay yours. Curbside processes them on your device; see the Privacy Policy for exactly what reaches our servers and what does not.

You are responsible for:
- Having the right to use the trip data you put into Curbside, and for complying with the laws and contracts that apply to it — including HIPAA if it applies to you.
- The accuracy of what you import. An address typed wrong produces a route that is wrong.
- Reviewing the proposed assignment before acting on it.
- Backing up anything you need to keep. Your history is stored on your device and we hold no copy of it.
- Not sending us patient information by email, chat or through the demo form. If you do, we will delete it.
Eres responsable de:

5. Trial, fees and cancellation5. Prueba, cobros y cancelación
- We offer a free trial. No card is required, and it ends on its own — it does not roll into a paid plan unless you tell us to start one.
- After the trial, Curbside is a flat monthly fee per organization, quoted to you in writing before you are charged. There are no per-trip fees.
- Fees are billed monthly in advance and are non-refundable for a period already begun, except where the law says otherwise.
- You can cancel at any time, effective at the end of the period you have paid for.
- If we change the price, we will tell you at least 30 days beforehand. If you do not want to continue, cancel before it takes effect.

Don't: resell or sublicense Curbside; reverse-engineer it except where the law allows; probe or attack our systems; use it to break the law or someone's privacy; or work around technical limits, rate limits or usage caps. We depend on third-party map providers whose terms we must pass along, so automated bulk extraction of geocoding or routing results is not allowed.

We work to keep Curbside available, but we do not promise a specific uptime. Maintenance, provider outages and events outside our control happen. Support is by email at hello@curbsidenemt.com on business days; we aim to answer within one business day, without promising a resolution time.
Because the assignment runs on your device, a temporary outage of our address service does not stop you from working with addresses Curbside has already resolved.

8. Ownership8. Propiedad
Curbside — the software, its design and its documentation — belongs to us. You get a non-exclusive, non-transferable right to use it while your subscription is current. Your trip data belongs to you; nothing here gives us ownership of it. If you send us an idea or suggestion, we may use it without owing you anything.

Curbside is provided "as is". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
In particular, we do not warrant that an assignment will be optimal, that every trip will be assigned, that estimated driving times will match real ones, or that a route will be achievable on a given day. Driving times are estimates derived from map data. Traffic, road closures, weather and the real world are not in the model.

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data.
Our total liability arising out of or relating to Curbside, on any theory, is limited to the amount you paid us in the twelve months before the event giving rise to the claim. If you are on a free trial and have paid us nothing, our liability is limited to one hundred US dollars (US$100).
Some jurisdictions do not allow some of these exclusions. Where that is the case, they apply to the extent permitted and no further.

You will defend and indemnify us against claims arising from the data you put into Curbside, from your use of the assignments it proposes, and from your breach of these terms.

11. Term and termination11. Vigencia y terminación
These terms run while you have an account. You may close yours at any time. We may suspend or close an account that breaches these terms, that endangers our systems, or that has not paid; where it is reasonable to do so we will warn you first and give you a chance to fix it.
On termination your right to use Curbside stops. Your data on your device stays where it is — it is yours and we cannot reach it. We delete your account within 30 days. Sections 4, 8, 9, 10 and 12 survive.

12. Governing law and changes12. Ley aplicable y cambios
These terms are governed by the laws of [[JURISDICTION]], without regard to conflict-of-law rules, and the courts there have exclusive jurisdiction. If a clause is unenforceable, the rest stays in force.
We may update these terms. If a change matters, we will post the new effective date and email active customers at least 30 days beforehand. Continuing to use Curbside after that is acceptance. This page, together with the Privacy Policy, is the whole agreement between us.
